1. Who we are

These Terms & Conditions ("Terms") govern your use of the PMAAZ NIL Hub website, applications, and related services (the "Service"). The Service is provided by Gilbert Services Southwest ("we", "us", "our"), operating under the trading name "PMAAZ NIL Hub". By using the Service, you enter into a binding agreement with Gilbert Services Southwest.

2. Acceptance of these Terms

By accessing or continuing to use the Service, you agree to be bound by these Terms and our Privacy Notice. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization. If you are an individual, you confirm that you are of legal age to enter into a contract in your jurisdiction.

3. The Service

PMAAZ NIL Hub provides educational content, tools, an AI-powered risk scanner, an AI assistant, and a video/knowledge library related to Name, Image, and Likeness ("NIL") for youth athletes and their families. The Service is provided for educational purposes only and is not legal, tax, or financial advice.

4. Accounts and accuracy

You are responsible for the accuracy of any information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam or infringe the intellectual property or privacy rights of others;
  • upload malware or attempt to interfere with the security or integrity of the Service;
  • probe, scan, scrape, reverse engineer, or attempt to gain unauthorized access to the Service or its underlying systems;
  • resell, sublicense, or redistribute the Service or circumvent any technical limits.

6. AI features and generated content

The Service includes generative AI features (including the NIL Risk Scanner and AI Assistant). You are responsible for your prompts, for how you use any outputs, for verifying accuracy, and for ensuring you have the rights to any content you submit. You must not use AI features to generate illegal content, deepfakes, hate speech, malware, or to attempt to jailbreak or circumvent safety measures.

AI outputs may be inaccurate or incomplete and are not a substitute for professional legal, tax, financial, or compliance advice. We may remove or restrict content, refuse or filter outputs, and suspend accounts that violate these Terms. We accept takedown requests from rights-holders and may terminate access for repeated infringement.

7. Intellectual property

We retain all right, title, and interest in and to the Service, including the software, content, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use within the plan you have purchased.

You retain ownership of content you submit. You grant us a limited license to host, store, and process that content solely to provide and improve the Service.

8. Payment, billing, and subscriptions

Paid plans are billed on a recurring basis at the price and interval you select (currently monthly or yearly). Payment mechanics, billing, invoicing, taxes, cancellations, and refunds are handled by our reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Refunds are governed by our Refund Policy.

9. Service availability and warranties

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or exemplary damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence where such limitation is prohibited by law.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party rights.

12. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to access the Service ends, and we may delete your data after a reasonable export window, subject to any legal retention obligations.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict of laws principles. The courts located in Arizona will have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
